Terms of Service

1. Who these terms are with

These terms are between you and Prism Labs (“we”, “us”), the company behind Toggle AI. Prism Labs is established in the Republic of Korea. Registered office address and business registration number (사업자등록번호) are not published here yet — that is a counsel item, not an omission we are pretending is complete.

By creating an account, or by continuing to use the service after a posted change, you agree to these terms. Creating an account includes email-and-password and, when the button is shown, Google sign-in.

2. The service

Toggle AI is a tree-structured AI workspace. You write questions; we store them and send them, with the Thread’s ancestor context, to a model provider so they can be answered; you can branch, pin passages, attach files, and come back later. Hosted tools (web search, code execution / interpreter, and the others named in the App Privacy Notice §6.1) may run if you have not switched them off for that Thread.

The waitlist at toggle-ai.prismlab.dev/waitlist is part of the same service: a queue for access, not an account.

Staging (staging.toggle-ai.prismlab.dev) is for the people who run the product. These terms describe the live application.

3. Open beta — no warranty

The product is in open (public) beta. It will change, it will break, features may be withdrawn, and we may pause or end the beta without notice. We do not warrant that the service will be uninterrupted, accurate, complete, or fit for a particular purpose. Model answers can be wrong. Do not rely on Toggle AI as the only copy of work you cannot afford to lose, and do not use it where a failure would cause death, personal injury, or serious legal or financial harm.

To the extent a consumer-protection statute applicable to you requires a warranty we cannot disclaim, that statute still applies. This section does not invent a waiver Korean or EEA/UK consumer law would refuse.

4. Your account and invites

You need an account. Today that is an email address and a password, or Google sign-in when live is configured to show the button (GET /auth/google reports configured). The button is hidden when it is not.

New accounts remain invite-gated, including Google sign-up (product policy A, issue #458). Having a Google account is not by itself an invitation. The same invite code gates email register. Sign-in of an already-linked Google account does not need an invite.

Account linking, as the product actually does it: if you sign in with Google and the verified Google email matches an existing password account that is not yet linked, we write Google’s subject identifier onto that row and sign you in. If that row is already linked to a different Google account, the product refuses (HTTP 409) rather than silently re-linking. Details are in App Privacy Notice §6.2.

You must be old enough to have an account under the children rules in the notice (13 in the United States, 14 in Korea, 16 in the EEA). We do not currently verify age. If we learn an account is under those ages we will delete it.

Keep your password and your Google account under your control. You are responsible for activity on your Toggle AI account. Tell us if you think it has been taken over.

You can delete an email-and-password account in the product (Account → Delete account). That form asks for the password. A Google-only account has no password, so that form cannot complete — write to ringo@prismlab.dev and we will erase it. What erasure reaches, and what it cannot reach, is in notice §8. We may suspend or close an account that breaks these terms or a model provider’s usage policy, or that we have to close to operate the beta.

5. Google sign-in

When the button is shown, Continue with Google / Sign up with Google uses Google Identity Services. Google’s terms apply to Google’s own processing. Ours apply to the account we then issue. Scopes, what we store, and what we discard are in notice §6.2 — including that we do not store the Google avatar, and that we do not use Google user data for advertising or to train models.

We do not currently offer a way to unlink Google from the product UI. If you need that, write to us. Counsel and product still owe a unlink / Google-reauth delete path; this paragraph does not pretend they exist.

6. Your content and intellectual property

You retain whatever rights you have in the questions you type, the files you attach, the Pins you keep, and the Workspace titles you write. As between you and us, you may use the model’s replies the product shows you, subject to the model provider’s terms.

You grant Prism Labs a worldwide, non-exclusive licence to host, store, display, transmit, and send that content to model providers and hosted tools solely to operate Toggle AI for you — including ancestor context on a branch, which is how the product works. We do not claim ownership of your content. We do not sell it. We do not use it to train our own models (we do not train models). Model providers’ API terms, summarised with dates in the notice, say they do not train on API traffic; those terms can change and theirs govern their processing.

The Toggle AI product — software, design, marks, and documentation — stays ours (and our licensors’). These terms do not give you a licence to copy the product, scrape it, or wrap it as your own service.

You represent that you have the right to submit what you submit, and that doing so does not infringe someone else’s rights. Do not submit other people’s personal data, special-category data, or confidential material you are not allowed to send to a model provider. We do not ask for that material and we do not want it; if you paste it, it is processed as ordinary content as described in the notice.

7. Acceptable use

You must not, and must not attempt to:

• use the service to break the law, to harm people, or to produce illegal content;
• attack, probe, or overload Toggle AI, the API, or anyone else’s systems;
• access another person’s account, or circumvent the invite gate;
• extract or republish the service (or model outputs at scale) as a competing product;
• misrepresent that model output is a human’s professional advice;
• interfere with another user’s Workspaces or Pins.

Model providers have their own usage policies. A conversation they refuse, we cannot answer. A provider’s block may close that Turn; it does not by itself delete your account, but a pattern of abuse can.

8. Privacy

How we handle personal data is in the App Privacy Notice and the Korean 개인정보 처리방침 on the same URL. Those pages are the detailed promise: what we collect, Mixpanel, hosted tools, overseas transfers, retention, and your rights. This document does not repeat them.

The marketing website at prismlab.dev has a separate website privacy policy and its own Mixpanel project.

9. Limitation of liability

This is a beta, offered without charge at the point of use. To the fullest extent permitted by the laws of the Republic of Korea:

• we are not liable for lost profits, lost data, lost goodwill, or indirect, incidental, special, or consequential loss arising from the service or from a model answer;
• our aggregate liability arising out of these terms or the service is limited to the greatest extent Korean law allows for a free beta. We have not invented a numerical cap; counsel can set one if a commercial contract replaces this page.

Nothing in these terms excludes or limits liability that Korean law does not allow to be excluded — including, where applicable, liability for wilful misconduct or for death or personal injury caused by negligence. If you are a consumer in the EEA or the UK, mandatory local consumer protections still apply; counsel has not yet written a separate jurisdiction or liability clause for those readers, and we will not invent one.

We are not responsible for model providers’, Google’s, AWS’s, or Mixpanel’s own acts beyond what the notice already describes as our processing.

10. Governing law

These terms, and any dispute arising out of them or the service, are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules that would point elsewhere. The courts of Korea have jurisdiction, except that if you are a consumer you may also have a right to sue in your country of residence where a mandatory rule says so. We have no EU or UK representative (GDPR / UK GDPR Art. 27); whether we need one is for counsel, not for this page to invent.

11. Changes

We may change these terms as the beta changes. We will post the new terms on this page and move the “last updated” date. For a change we consider material we will tell you in the product. We do not currently send automated transactional email, so do not expect a mailed copy until that exists and this sentence is updated.

If you do not agree to a change, the remedy is to stop using the service and delete your account (or ask us to). Continued use after the new date is acceptance of the new terms.

A full counsel-drafted commercial contract, if one is ever published, will replace this page. Until then, this is the contract you entered for the open beta.
